GrubMarket Inc. has confidentially submitted a draft registration statement to the U.S. Securities and Exchange Commission for a proposed initial public offering, taking the first formal step toward becoming a publicly traded company.
The South San Francisco, California-based company announced July 28 that it filed a confidential draft Form S-1 registration statement with the Securities and Exchange Commission. The filing does not disclose the number of shares to be offered or the expected price range.
The proposed offering remains subject to Securities and Exchange Commission review and market conditions. The company did not announce a timetable for the offering.
A confidential filing allows a company to begin the regulatory review process before releasing its registration statement.
Since its founding in 2014, GrubMarket has completed more than 100 acquisitions of produce wholesalers, food distributors and specialty food suppliers in the United States and Canada. The acquisitions have expanded the company’s distribution network and product offerings, making it one of North America’s largest food distribution companies. GrubMarket distributes fresh produce, meat, seafood, dairy products and other food products to grocery stores, restaurants, foodservice operators, and other commercial customers.
The company also develops software and artificial intelligence tools for distributors and other businesses across the food supply chain.
Earlier this month, GrubMarket introduced an artificial intelligence sales tool designed to help food distributors identify prospective customers and prepare price quotes more quickly.
The company also recently acquired Canadian online grocer SPUD, expanding its presence in Canada and adding to a string of acquisitions that have fueled its growth.
An initial public offering would provide GrubMarket with access to additional capital as it continues expanding its distribution business and technology offerings.
The company said the announcement was made in accordance with federal securities regulations governing companies that have confidentially submitted registration statements. The press release does not constitute an offer to sell securities, and any sale of stock would occur only after the registration process is completed.
The Securities and Exchange Commission must complete its review before GrubMarket can proceed with the proposed public offering, and the company said the offering remains subject to market conditions.
