Why This Matters to Distributors: Hillman’s acquisition of Kanebridge reflects the growing strategic value of master distribution in industrial supply chains. The deal gives Hillman an established wholesale distribution platform, expands its industrial product offering and underscores how larger distributors are using acquisitions to gain scale in specialized market segments rather than build those capabilities organically.
Hillman Solutions Corp. has agreed to acquire Kanebridge Corp., a master distributor of industrial fasteners, for $315 million, expanding its presence in the industrial distribution market.
The Cincinnati-based hardware and merchandising supplier announced Aug. 3 that the purchase price is subject to customary adjustments for cash, debt, working capital, and transaction expenses.
Kanebridge supplies more than 44,000 commercial- and military-grade fastener stock-keeping units (SKUs) to distributors throughout the United States and Canada from distribution centers in Illinois and California. The company has operated for more than 50 years and sells exclusively to distributors serving commercial and industrial markets. Its proprietary FasNet ordering platform enables same-day shipping across much of its product portfolio.
The transaction has been approved by the boards of both companies and is expected to close following regulatory approval and the satisfaction of customary closing conditions.
Hillman said it will finance the acquisition with a combination of cash on hand, borrowings under its existing asset-based revolving credit facility and an add-on to its existing first lien term loan.
“Kanebridge gives us an immediate and credible foothold in the industrial channel, which we’ve identified as one of our biggest growth opportunities,” CEO Jon Michael Adinolfi said. “Their master distributor model, capabilities-driven platform and long-standing distributor relationships make it a great fit for us.”
Hillman said the acquisition expands its industrial addressable market by approximately $1 billion, bringing its total industrial market opportunity to about $3 billion. The company said it expects the acquisition to generate benefits through sourcing efficiencies, cross-selling opportunities, and tax advantages. After the transaction closes, Kanebridge will become part of Hillman’s commercial and industrial business under Executive Vice President Chris Martin.
“Kanebridge’s focus on the U.S. industrial market complements Hillman’s existing industrial presence in Canada, broadening our combined reach across North America,” Martin said.
The acquisition marks Hillman’s first major expansion into the U.S. master distribution market for industrial fasteners. Unlike traditional distributors that primarily sell to end users, Kanebridge supplies other distributors, giving Hillman an established wholesale platform and relationships across commercial and industrial distribution channels.
The deal also strengthens Hillman’s position in the specialty fastener market, where broad product assortments, inventory depth and rapid fulfillment are critical competitive advantages. Kanebridge’s portfolio of more than 44,000 SKUs complements Hillman’s catalog of more than 111,000 products, expanding the combined company’s ability to serve distributor customers across a wider range of applications.
The acquisition adds to a broader wave of consolidation across industrial distribution as companies use acquisitions to expand product categories, geographic reach, and channel capabilities rather than build them organically.
