Why This Matters to Distributors: RNDC’s bankruptcy follows sales that transferred markets and brand distribution rights to other wholesalers. The upcoming hearing will consider the company’s proposed liquidation plan, while suppliers and other creditors await resolution of their claims and any distributions.
Republic National Distributing Co. faces an Oct. 15 deadline for creditor votes and objections to its proposed Chapter 11 liquidation plan ahead of an Oct. 22 confirmation hearing in Houston.
The same deadline applies to objections to the plan and disclosure statement and requests to opt out of the plan’s third-party releases.
The U.S. Bankruptcy Court for the Southern District of Texas is scheduled to consider final approval of the disclosure statement and confirmation of the plan on Oct. 22. The hearing will determine whether the proposed plan can proceed; it would not complete the liquidation or establish creditors’ final recoveries that day.
RNDC filed its first amended plan and amended disclosure statement Sept. 10. The court conditionally approved the disclosure statement that day and authorized procedures for soliciting creditor votes, according to a court notice posted by Omni. Conditional approval allowed solicitation to begin but did not constitute confirmation of the plan.
RNDC began its Chapter 11 proceedings July 26 to pursue additional sales and wind down its remaining operations. The filing followed several transactions that shifted portions of its distribution network to other wholesalers.
Reyes Beverage Group announced May 29 that it was closing its acquisition of RNDC operations in 11 markets: Arizona, Colorado, Florida, Hawaii, Louisiana, Maryland, Oklahoma, South Carolina, Texas, Virginia and Washington, D.C. RNDC’s announcement that day said the Hawaii transaction remained subject to regulatory approvals.
RNDC subsequently announced June 30 that Columbia Distributing had completed its acquisition of key brand distribution rights in Oregon and Washington. Those transfers preceded the bankruptcy filing and formed part of RNDC’s broader effort to sell operations.
“Ultimately, RNDC’s financial position required us to pursue an in-court process,” the company said in its bankruptcy announcement. RNDC said it intended to continue meeting obligations under transition service agreements associated with previously announced sales.
The bankruptcy petitions reported estimated consolidated assets of $500 million to $1 billion and liabilities of $1 billion to $10 billion. Those figures represent the ranges selected in the filings rather than precise asset and liability totals.
In its original disclosure statement, RNDC said it lost several key suppliers from late 2022 through 2025 that collectively accounted for more than $3 billion in annual revenue. The company attributed its financial pressure to supplier departures alongside declining alcohol consumption, excess inventory, elevated interest rates and rising operating costs.
The filing did not include every business associated with RNDC. National Distributing Co. Inc. was excluded, as were joint ventures in New York, Illinois, Ohio, Michigan, Indiana and Kentucky. Alaska was the only joint venture included at the time of filing, according to RNDC.
For creditors, the immediate issue is whether the proposed plan wins court approval. The Oct. 15 deadline gives eligible creditors their scheduled opportunity to vote and object before the court considers confirmation Oct. 22.
