Tencarva Machinery Acquires WWaterTech to Expand Municipal Reach

Why This Matters to Distributors: Regional specialty distributors with deep OEM relationships and established municipal customer bases have become acquisition targets as private equity-backed consolidators move to build geographic scale in infrastructure-adjacent markets — and the pace of that consolidation is not slowing down.

Tencarva Machinery Company has acquired WWaterTech Services, Inc., a manufacturer’s representative serving municipal water and wastewater markets in Texas and Oklahoma, extending the Greensboro, North Carolina-based distributor’s presence into one of the country’s fastest-growing infrastructure markets. Financial terms were not disclosed.

WWaterTech, founded in 2006 and headquartered in Waller, Texas, represents approximately 60 water and wastewater equipment vendors, providing engineers and municipal customers with access to process equipment for treatment and distribution systems. President and owner Steve Holt will transition to an advisory role following the close. Wes Holt, a 15-year WWaterTech executive, will assume the role of branch manager.

“With its strong position in Texas, one of the most attractive municipal markets in the country, and its high-quality OEM relationships, WWaterTech expands our reach in an important market and supports our continued growth in municipal end markets,” said Henry Ritchie, president of Tencarva.

The acquisition advances Tencarva’s strategy of building its municipal distribution footprint through targeted regional deals. The company, which entered the municipal market in 2006, now operates 34 locations across the Southeast, Mid-Atlantic and Midwest and employs more than 580 people, including more than 125 employee shareholders. Tencarva is backed by Bessemer Investors, a New York-based private equity firm focused on middle-market businesses.

For WWaterTech, the transaction preserves the company’s existing team and client relationships while adding the operational resources of a larger distribution platform. “This transaction allows our team to remain intact while adding resources and capabilities that will help WWaterTech continue to grow and better serve our principals, engineers, contractors and owners,” Holt said.

Tencarva said it continues to seek acquisition partners in industrial and municipal flow control and process equipment distribution.
