If completed as scheduled, the transaction will create one of the largest publicly traded distribution companies focused exclusively on the low-voltage market in North America.
The company said the Mexican operation was built to provide local inventory management, logistics support and technical service while leveraging Palmer Holland’s broader North American supplier network.
The acquisition expands Imperial Dade Canada’s geographic coverage in Canada and adds Enterprise Paper’s established customer relationships, sales organization, and distribution capabilities to the company’s network.
While the company traces its roots to the United Kingdom, it has spent more than a decade reshaping itself around the North American market through divestitures, acquisitions and a series of corporate changes that culminated in its rebranding from Wolseley plc to Ferguson from 2017 until 2021.
For distributors, the findings suggest that large-scale distribution networks continue to expand despite economic uncertainty, while excess capacity remains available in smaller warehouse segments.
Distributors serving utility, renewable energy and data center markets are increasingly investing in digital tools that can accelerate quoting, improve product identification, and provide better visibility into supplier networks.
Texcel said the warehouse stocks industrial hose, hydraulic hose and flat goods inventory and will support one- to two-day delivery times for customers throughout much of the western United States.
The merger could strengthen the combined company’s position with distributors by expanding its product portfolio across multiple end markets and increasing its ability to supply customers through economic cycles.
The additions include Ingram Micro, one of the world’s largest technology distributors; Vertosoft, which specializes in public-sector technology sales; Liquid PC, a reseller-focused distributor; and QBS Software, a United Kingdom-based distributor of cybersecurity and enterprise software.
Wesco said it expects to combine Newark’s regional customer relationships and cooling expertise with its existing electrical, communications and supply chain offerings.
