Lennox has agreed to acquire Heat Controller, a supplier of heating, ventilation and air conditioning equipment that serves distributors across North America through its Comfort-Aire and Century brands.
The companies have signed a definitive agreement for the transaction, which is expected to close later this year subject to regulatory approvals and customary closing conditions. Financial terms were not disclosed.
The acquisition expands Lennox’s presence among small and mid-sized HVAC distributors and adds two established brands with broad product offerings across residential and commercial markets.
Lennox said Heat Controller’s distributor-focused business model, product availability and customer service capabilities complement its existing operations and create opportunities to expand market share across North America.
“Heat Controller and its Comfort-Aire and Century brands strengthen how we serve our distributor partners with flexibility and exceptional customer service,” says Lennox CEO Alok Maskara. “Together, we see meaningful opportunities to support our distributor partners.”
Heat Controller CEO Philip Windham says the company expects to benefit from Lennox’s scale and operational resources while continuing to support its distributor network.
“We are excited to join Lennox and begin the next chapter of Heat Controller’s growth,” Windham says. “Lennox’s scale, operational strength and focus on customer experience position us to expand our offering and continue delivering the flexibility, availability and service our distributor partners depend on.”
The transaction comes as HVAC manufacturers continue investing in distribution channels amid growing demand for energy-efficient equipment, heat pumps, and electrification technologies. Independent distributors remain a critical route to market for many equipment suppliers, particularly in regional and mid-market territories.
Founded in Tennessee, Heat Controller supplies HVAC equipment through distributors across the United States and Canada. Its Comfort-Aire and Century brands are widely distributed in residential and light commercial applications.
For Lennox, the acquisition broadens its product portfolio and provides additional access to independent distributor relationships outside its traditional sales channels.
The deal also reflects continued consolidation across the HVAC industry, where manufacturers are seeking greater scale, expanded product offerings, and stronger distribution networks to support growth.
Lennox, based in Dallas, manufactures residential and commercial heating, cooling, indoor air quality, refrigeration, and water heating products. Upon closing, Heat Controller will become part of the company’s portfolio of climate-control businesses.
