Home Depot’s SRS to Acquire GMS in $5.5 Billion Deal, Expanding Specialty Building Distribution Network

The Home Depot announced Monday that its specialty trade distribution arm, SRS Distribution Inc., has entered into a definitive agreement to acquire GMS Inc., a leading North American specialty building products distributor, in a cash deal valued at approximately $5.5 billion, including net debt.

The agreement, unanimously approved by both companies’ boards of directors, significantly expands Home Depot’s footprint in professional-grade distribution, especially across high-demand categories such as drywall, ceilings, and steel framing. Under the terms, SRS will initiate a tender offer to purchase all outstanding shares of GMS at $110 per share in cash, reflecting an equity value of $4.3 billion.

The deal is expected to close by the end of Home Depot’s fiscal 2025, pending customary closing conditions and regulatory approvals, according to a joint press release issued by the companies.

“This acquisition accelerates SRS’s strategy to become a leading multi-category building materials distributor,” said Dan Tinker, CEO of SRS Distribution, in the release. “With GMS, we’ll have a combined network of more than 1,200 locations and a delivery fleet of over 8,000 trucks, enabling tens of thousands of jobsite deliveries each day.”

GMS Inc., headquartered in Tucker, Georgia, operates more than 300 distribution centers across the U.S. and Canada, and is one of the largest distributors of interior construction products, including gypsum wallboard and acoustical ceiling systems. The company reported $5.6 billion in revenue for fiscal 2024, according to its latest annual report filed with the U.S. Securities and Exchange Commission (SEC).

Home Depot acquired SRS Distribution in 2024 in a reported $18.25 billion deal, marking its largest acquisition to date. Since then, SRS has served as a cornerstone of Home Depot’s strategy to expand its professional (or “Pro”) business, a key growth focus for the retailer.

GMS President and CEO John C. Turner, Jr. and his leadership team are expected to remain in place and continue running the business under the SRS umbrella. “Joining SRS and Home Depot allows us to serve our contractor customers with a broader set of products and services, while maintaining the service excellence that defines GMS,” Turner said in the announcement.
