TopBuild Corp., an installer and distributor of insulation and roofing materials, has acquired Specialty Products and Insulation (SPI) for $1 billion in cash, a move that expands its reach in the mechanical insulation and building materials distribution market across North America.
The deal closed October 7 and was funded with cash on hand, including proceeds from TopBuild’s September senior notes offering. The transaction excludes SPI’s metal building insulation division.
Headquarters in Charlotte, North Carolina, SPI supplies and fabricates mechanical insulation products for commercial, industrial, and residential construction. The company operates 90 branches and employs 1,000 people across the U.S. and Canada. For the twelve months ending June 30, SPI generated $700 million in revenue and $75 million in EBITDA.
TopBuild said the acquisition will immediately add to earnings per share and fits its strategy of expanding non-cyclical revenue streams. Including a $70 million tax asset, the anticipated cost synergies are $35 million to $40 million within two years.
“This acquisition strengthens our specialty distribution platform and broadens our footprint across North America,” said Robert Buck, TopBuild’s president and chief executive officer. “SPI’s fabrication capabilities and recurring revenue mix enhance our position in the commercial and industrial markets and support our long-term growth strategy.”
SPI derives about 55% of its revenue from recurring maintenance and repair work and the rest from commercial and industrial customers — two areas TopBuild has targeted for expansion.
Ray Sears, SPI’s president and CEO, said the acquisition “positions the combined organization to deliver greater value to customers through a wider network and shared operational expertise.”
TopBuild said the deal will boost its mechanical insulation fabrication capacity and create efficiencies across its Specialty Distribution segment. The company has been an active acquirer since its 2015 spin-off, completing 45 deals.
